-=Prevail Therapeutics (PRVL) to be acquired by Lilly (LLY) for $22.50 per share

Lilly (LLY) to acquire Prevail Therapeutics for $22.50 per share in cash

  • The cos announced a definitive agreement for Lilly to acquire Prevail for $22.50 per share in cash (or an aggregate of ~$880 mln) payable at closing plus one non-tradable contingent value right ("CVR") worth up to $4.00 per share in cash (or an aggregate of ~$160 mln), for a total consideration of up to $26.50 per share in cash (or an aggregate of ~$1.040 bln). The CVR is payable upon the first regulatory approval of a product from Prevail's pipeline.
  • Under the terms of the agreement, Lilly will commence a tender offer to acquire all outstanding shares of Prevail Therapeutics Inc. for a purchase price of $22.50 per share in cash (or an aggregate of ~$880 mln) payable at closing plus one non-tradeable CVR. The CVR entitles Prevail stockholders to up to an additional $4.00 per share in cash (or an aggregate of ~$160 mln) payable (subject to certain terms and conditions) upon the first regulatory approval for commercial sale of a Prevail product in one of the following countries: United States, Japan, United Kingdom, Germany, France, Italy or Spain. To achieve the full value of the CVR, such regulatory approval must occur by December 31, 2024. If such regulatory approval occurs after December 31, 2024, the value of the CVR will be reduced by ~8.3 cents per month until December 1, 2028 (at which point the CVR will expire). There can be no assurance any payments will be made with respect to the CVR. The transaction is not subject to any financing condition and is expected to close in the first quarter of 2021.
  • Upon closing, the impact of this transaction will be reflected in Lilly's 2021 financial results according to Generally Accepted Accounting Principles (GAAP). There will be no change required to Lilly's 2021 financial guidance being issued today for research and development expense or non-GAAP earnings per share as a result of this transaction.

    • Stoke Therapeutics (NASDAQ:STOK) on December 16; 
    • Grocery Outlet (NASDAQ:GO), Personalis (NASDAQ:PSNL), Prevail Therapeutics (NASDAQ:PRVL), Atreca (NASDAQ:BCEL) and Akero Therapeutics (NASDAQ:AKRO) on December 17; 
    • Artelo Biosciences (NASDAQ:ARTL) on December 18 and 
    • Amerant (NASDAQ:AMTB) on December 19. 
    Of the bunch, Grocery Outlet might be the one to watch with shares up over 30% since the IPO.

    IPO quiet period expirations
    There is also an analyst quiet period expiration for SiTime (NASDAQ:SITM) on December 16 to keep tabs on.

    IPOs this week : July 15 - 19, 19

    A busy week is set up for the IPO market with

    • DouYu International (DOYU) pricing on July 17 and 
    • Genmab (OTCPK:GMXAY), Assetmark Financial (AMK) Phreesia (PHR), Fulcrum Therapeutics (FULC) and Mirum Pharmaceuticals (MIRM) on July 18. 
    • Medallia (MDLA) and Afya (AFYA) are also due to price on July 19. 

    Quiet period expirations arrive on
    • Stoke Therapeutics (NASDAQ:STOK), Grocery Outlet (NASDAQ:GO), Personalis (NASDAQ:PSNL), Akero Therapeutics (NASDAQ:AKRO), Atreca (NASDAQ:BCEL) and Prevail Therapeutics (NASDAQ:PRVL) on July 15. 
    Expect to hear some discussion about Anheuser-Busch InBev (NYSE:BUD) on the likelihood of the beer giant refiling the Budweiser Brewing Company (BUDBC) IPO if market conditions in Hong Kong improve or if the company will move forward with its heavy debt load.

    IPOs this week : June 17 - 21, 19

    IPOs expected to price
    • Stoke Therapeutics (STOK) is expected to price its IPO on June 18, 
    • Akero Therapeutics (AKRO), Atreca (BCEL), Dermavant Sciences (DRMT), Grocery Outlet Holdings (GO), Personalis (PSNL) and Prevail Therapeutics (PRVL) are all slated to price on June 20.


    IPO quiet period/lockup expirations 
    Quiet periods end on
    • Rattler Midstream (NASDAQ:RTLR), Ideaya Biosciences (NASDAQ:IDYA) and Bicycle Therapeutics (NASDAQ:BCYC) on June 17. 
    • Meanwhile, share lockups expire on Amarant (NASDAQ:AMTB), LiveXLive Media (NASDAQ:LIVX) and Datasea (NASDAQ:DTSS) on June 17 - as well as Cardiol Therapeutics (OTCPK:CRTPF) on June 18. 
    • Over in Tokyo, some shares of SoftBank Corp. (OTCPK:SOBKY) are also due to be freed up on June 17.
    Spotlight on Slack:
    Slack Technologies (WORK) expects to be valued by investors at $16B to $17B when the workspace chat/collaboration software company lists shares on June 20 in a direct listing. For the fiscal year ending in January, Slack expects to churn up revenue of $590M (+50% Y/Y) but estimates for the bottom line vary widely. Per public filings, Slack's shares have traded at prices ranging from $8.37 to $31.50 per share in the private market.
